Our transactional work covers share and asset acquisitions, private equity and strategic investments, schemes of arrangement, demergers and slump sales. We advise on structure selection, transaction documentation and the conditions that determine whether a deal closes on time.
Legal due diligence is run as a decision-support exercise rather than a document listing. Findings are reported by reference to their commercial consequence — price, indemnity, condition precedent or walk-away.
We coordinate closely with tax, competition, employment and regulatory colleagues, and work alongside international counsel where a transaction has cross-border elements.
